Terms and conditions

  1. Introduction
    These Terms and Conditions govern the relationship between ProInvest Commerce Limited (“Provider”) and the clients (“Clients”) concerning the provision of custom and private label natural personal care products through the website MadeByNatureLabs.com.
  2. Product Sampling

    a. Clients may order samples of our products to evaluate their suitability before committing to a full production order.

    b. The cost of samples and all associated shipping fees are payable by the Clients.

    c. The Provider will invoice the Clients for these costs, and payment must be made prior to the dispatch of samples.

  3. Product Customization

    a. If the initial sample does not meet the Client’s requirements, customization of the formula is available.

    b. While the Provider will endeavor to accommodate the Client’s requirements, it is not always possible to match the exact texture, aroma, color, or other specific attributes requested due to inherent variations in natural ingredients and production processes.

    c. Depending on the complexity of the client’s requirements, each product customization could take up to 60 working days.

    d. If the client requests additional customization after the initial sample delivery, a new 60 working day period starts for the additional changes.

    e. Clients are allowed up to two follow-up modifications free of charge during the customization process. Any further modifications may be subject to additional charges.

    f. The minimum cost for any customization is 400 EUR, which covers the initial development and testing of the revised formula.

    g. This customization fee is non-refundable, recognizing the resources and labor involved in developing a personalized product.

  4. Order Confirmation and Production

    a. Upon approval of the sample or customized formula, Clients will confirm their order by signing a Purchase Agreement, which will detail the product specifications, quantities, and delivery schedule.

    b. Production will commence only after the receipt of a signed Purchase Agreement and payment of the agreed deposit.

  5. Payments

    a. A deposit of 50% of the total order cost is required to initiate the production process.

    b. The remaining balance is due upon completion of production and prior to shipment.

    c. Payments must be made via bank transfer, unless otherwise agreed upon between the Provider and the Client.

  6. Cancellations

    a. Once an order has been confirmed and production has started, cancellations will not be accepted, and the deposit will not be refunded.

    b. Changes to the order after production has started may incur additional charges, depending on the nature of the changes and the stage of production.

  7. Delivery and Shipping

    a. Delivery times are estimated and may vary depending on production schedules and shipping methods.

    b. The Provider is not liable for delays caused by shipping carriers or unforeseen circumstances affecting delivery times.

  8. Liability and Warranty

    a. The Provider guarantees that all products are manufactured to meet the agreed specifications and quality standards.

    b. Any claims for defects or non-conformance must be made within 7 days of receipt of the products. c. Remedies for confirmed defects are limited to replacement of the products or refund of the purchase price at the Provider’s discretion.

  9. Intellectual Property

    a. The Client acknowledges that any formulations, custom designs, or specific ingredients used in the creation of the products remain the intellectual property of the Provider.

    b. The Client agrees not to reverse engineer, replicate, or otherwise make unauthorized use of the proprietary formulations.

  10. Governing Law

    a. These Terms and Conditions shall be governed by and construed in accordance with the laws of Bulgaria. b. Any disputes arising under or related to these Terms and Conditions shall be subject to the exclusive jurisdiction of the courts of Varna, Bulgaria.
